Terms of Service

Draft notice. These Terms of Service are prepared for initial launch and are pending final legal review. Please contact us with questions before relying on them for a specific engagement.

These Terms of Service ("Terms") govern your use of devqo ("Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

devqo is a cloud-hosted project management platform that provides issue tracking, documentation, automations, and AI features for teams. Features may change, be added, or removed over time. We will notify you of material changes through the Service or by email.

2. Eligibility & account

You must be at least 20 years old (or the age of legal majority in your jurisdiction) to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

You agree to provide accurate information during registration and to keep it current.

3. Organizations & roles

devqo is organized around workspaces (organizations). The user who creates a workspace is the initial owner. Owners may invite members, promote admins, and remove users. Content inside a workspace is visible to other members of that workspace according to the role-based access controls built into the Service.

When you invite someone to a workspace, you confirm that you are authorized to share any data you bring in.

4. Acceptable use

You agree not to:

• Use the Service to violate any applicable law or the rights of others.
• Upload malware, exploit the Service, or attempt to access data you are not authorized to access.
• Reverse-engineer, resell, or sublicense the Service without our written permission.
• Scrape, harvest, or automate usage in a way that overloads or abuses the Service.
• Use the Service to send spam, phishing content, or unlawful communications.
• Impersonate another person or misrepresent your affiliation.
• Upload sensitive personal data (PDPA §26) or payment card numbers outside the intended billing flow.

We may suspend or terminate accounts that violate this section.

5. Your content

You retain all rights to content you upload to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, process, display, and transmit Your Content solely to provide the Service to you and your workspace members.

We do not claim ownership of Your Content. We do not use Your Content to train AI foundation models.

You represent that you have the rights necessary to upload Your Content and that it does not infringe any third-party rights.

6. AI features

Some features use AI models provided by third parties (see Privacy Policy). AI output is probabilistic and may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing AI output before relying on it. We do not guarantee that AI output is fit for any particular purpose.

7. Subscription, billing & refunds

Paid plans are billed on a subscription basis (monthly or annual) through Stripe. By subscribing, you authorize recurring charges until you cancel.

• Cancellation: You may cancel at any time from the Billing portal. Cancellation takes effect at the end of the current billing period.
• Refunds: Annual plans may be refunded pro-rata within 14 days of the initial subscription, at our discretion. Monthly plans are non-refundable.
• Taxes: Prices are shown exclusive of VAT unless stated otherwise. You are responsible for applicable taxes.
• Price changes: We may change prices with at least 30 days' advance notice. Changes apply to the next renewal.
• Non-payment: If a charge fails, we may suspend access after reasonable notice. Workspaces are archived (not deleted) for 60 days before removal.

8. Our intellectual property

The Service, including software, design, logos, and documentation, is our property and is protected by copyright and other intellectual property laws. These Terms do not grant you any right to our trademarks or branding.

9. Feedback

If you send us suggestions or feedback, we may use them without restriction and without compensation to you.

10. Termination

You may terminate at any time by deleting your account. We may terminate or suspend your account immediately for material breach of these Terms, non-payment, or if required by law.

On termination, your right to use the Service ends. You may export Your Content for 30 days after termination, after which it will be purged per our Privacy Policy retention schedule.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

These limitations apply even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to defend and indemnify us against any claim arising from (a) Your Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

14. Governing law & dispute resolution

These Terms are governed by the laws of Thailand. Any dispute arising under these Terms will be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to these Terms

We may update these Terms. When we make material changes, we will notify you and require re-acceptance before continued use. The effective date and version are shown at the top of this page.
